7. Term. This Agreement shall commence on the Effective Date and continue for thirty-six (36) months unless terminated as set forth herein.
7.1 Termination. Either party may terminate upon ninety (90) days' prior written notice in the event of a material breach.
7.2 Material Breach. The parties acknowledge that no cure period is afforded under this Section.
8. Fees. Total contract value: USD 420,000, payable quarterly. Late payments accrue interest at 1.5% per month.
